Case Analysis

Company Vision
The vision of Cooper Industries, as stated in the case, was to do an ‘outstanding job at the unglamorous part by making necessary products of exceptional quality.’ The goal was to operate in industries that had become somewhat of a necessity for consumers. Examples of such industries include: power transmission, hand tools, drilling and others. Cooper industries had started in 1833, as an iron foundry, and had existed most of its 150 years as a small sized maker of engines and compressors. However, all this changed in the 1960s, when the management decided to expand the company to lessen its dependence on the capital expenditures of the cyclical natural gas business.
Company Mission
Starting from the late 1950’s Cooper began a process of diversification in order to assure continued sustainability as a profitable company. As a multi-business, Cooper Industries’ sole objective must be “to achieve higher financial performance than its units would attain if they were independent.”
By extension, the goal was to grow Cooper industries as a corporation through diversification in order to operate in a wider range of product markets. The key to achieving this goal was acquisition of other firms.
In addition, to acquisitions Cooper’s basic corporate growth objective was to increase pre-tax earnings per share at a compound rate of 11% and improve the quality of earnings by adding stability.
Corporate Strategy and Implementation
Cooper’s corporate policy was centralized, but day-to-day operating decisions were delegated to the operating units. Cooper’s reliance on centrally located and systematic functions provided great benefit for the one time independent firms acquired through Cooper’s diversification actions. Part of the company’s strategy is the fact that Cooper targeted 40% as a desirable debt- total capital ratio ,and preferred to finance expansion with cash or convertible preferred stock ‘cash flow is king’ was the motto. Strong cash flow will help Cooper to aggressively pursue its acquisition program.     Newell, manufacturer and marketer of basic home and hardware products, is a rather unrelated diversified company with more than 30 operating businesses. Grown over the years through many acquisitions, the company is facing one of her most important challenge: the acquisition of Calphalon (high-quality cookware) and Rubbermaid (plastic products). Both the acquisition were part of that period’s CEO’s plan to increase Newell’s strength on the market, and to boost the capitalization to $10 billion, in order to reach higher EPS and, in so doing, create more value for shareholders. Calphalon is a private high-end aluminum cookware manufacturer, distributed in department and specialty stores and with a new developing product line for the mass retailer Target. Analyzing Calphalon’s issues, it comes out that its acquisition by Newell (consisting in a process of related diversification) would create value for both companies. In fact we must consider all the valuable things that this cookware manufacturer has to offer to its acquirer and vice versa: new channels where to sell premium products, that is to say non-mass merchandise markets, without cannibalizing Newell’s products sold in mass retailer stores (remember that Newell owns other cookware manufacturers); enhancement of competitive advantage through skills sharing, like Calphalon’s expertise in developing pull strategies and building strong connection with final consumers; strengthen Newell’s reputation by acquiring a prestigious brand name, thus not only functional objects, but also emotional ones; existence of a still profitable market in which other competitors haven’t reached a real leading position yet. Du Pont had expected that the economies of scale made possible by its large size and vertical integration would quickly propel it to leadership in an industry made up mostly of small, nonintegrated firms. And in fact sales had soared but so had losses. In 1919, gross paint and varnish sales rose 38%, to $4 million, from the previous year, but losses, nearly half a million dollars, were up an even greater 52%. “The more paint and varnish we sold, the more money we lost,” noted an internal report.
