Everyday people engage in a give and take relationship. What most people do not realize is that relationship is more often than not a contract. People handle contracts everyday whenever there is an exchange of promises. In the business world it has a bit more depth to it than the simple idea of slipping a few coins in a vending machine, as is such the scenario of developing a contract between a company wanting new software and a company that designs the software.
The concept of this paper is to identify keys areas of a contract to make it a win-win situation for both sides. Both parties know what they want and will want to address their needs to the other company. Along with the needs of the two parties, risks should be identified and brought to light to find better resolutions to avoid unnecessary risks. When both parties identify the needs and risks a contract can begin to take form. Five key areas should be addressed when forming a contract:
1. Performance
2. Change Control
3. Communications and Reporting
4. Project Structure
5. Dispute Resolution
Covering all of those areas will create a more reliable contract and improve the working relationship between the two companies.
